These Terms of Service (“Terms”) govern your use of the website at katalystlabs.co (the “Site”), operated by Katalyst Labs LLC (“Katalyst Labs,” “we,” “us,” or “our”), a New York limited liability company based in Albany, New York. By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

2. Using the site

You may use the Site for lawful purposes only. You agree not to:

• Use the Site in any way that violates applicable laws or regulations
• Submit false, misleading, or unlawful information through our forms
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems
• Interfere with the Site's operation, including by introducing malware or sending automated spam
• Copy, scrape, or reproduce Site content for commercial purposes without our permission

The Site and its content, including text, graphics, logos, product names (such as ParkSense, Brain Dump, and Savory), and design, are owned by Katalyst Labs LLC or its licensors and are protected by intellectual property laws. You may view and share links to the Site for personal, non-commercial purposes. No other rights are granted.

4. Information you submit

When you submit information through the Site, you confirm that it is accurate and that you have the right to share it. Our use of that information is described in our Privacy Policy. If you send us ideas or feedback, you agree that we may use them without obligation to you.

5. Products in development

Descriptions of our apps on the Site describe products that are still in development. Features, availability, pricing, platforms, and launch dates may change or may not be offered at all. Joining a waitlist does not guarantee access to a product. Each app will be governed by its own terms of use when released.

6. Consulting services

Information about our consulting services on the Site is for general informational purposes. Any consulting engagement will be governed by a separate written agreement between you and Katalyst Labs. A free consultation does not create a client relationship or any obligation for either party.

7. Third-party links and services

The Site may link to or rely on third-party websites and services that we do not control. We are not responsible for their content, policies, or practices, and your use of them is at your own risk.

8. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Site will be uninterrupted, error-free, or free of harmful components.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KATALYST LABS LLC AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

10. Indemnification

You agree to indemnify and hold harmless Katalyst Labs LLC from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or violation of these Terms.

11. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Albany County, New York, and you consent to the jurisdiction of those courts.

12. Changes to these terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date above. Continuing to use the Site after changes take effect means you accept the updated Terms.
